WATCH CHAMBER DEALER AGREEMENT
This Dealer Agreement (“Agreement”) is entered into between Watch Chamber Ltd (“Watch Chamber”) and the registered dealer (“Dealer”).
1. Eligibility
1.1 The Dealer confirms that it is a legally registered business and has authority to enter into this Agreement.
1.2 The Dealer agrees to provide Watch Chamber with all information reasonably requested to verify its identity and trading status.
2. Dealer Obligations
2.1 The Dealer agrees that all watches and accessories listed on Watch Chamber shall:
- Be authentic and genuine.
- Be legally owned by the Dealer.
- Not be stolen, counterfeit, or subject to finance.
- Be accurately described.
- Include genuine photographs and specifications.
2.2 The Dealer shall not knowingly misrepresent the condition, authenticity, or provenance of any item.
3. Authenticity Warranty
3.1 The Dealer warrants that every item offered for sale is 100% genuine.
3.2 Any counterfeit or misrepresented item constitutes a material breach of this Agreement.
3.3 Watch Chamber reserves the right to remove listings and suspend or terminate accounts immediately where authenticity concerns arise.
4. Responsibility for Sales
4.1 The Dealer is the seller of record for all transactions.
4.2 Watch Chamber acts solely as an online marketplace facilitating transactions between buyers and Dealers.
4.3 The Dealer accepts sole responsibility for all representations made in listings.
5. Fees
5.1 Watch Chamber shall charge such listing fees, commission fees and other charges as notified from time to time.
5.2 Fees are non-refundable except at Watch Chamber’s sole discretion.
6. Escrow and Payment Holds
6.1 Watch Chamber may hold, delay or reverse payments where:
- Fraud is suspected.
- Authenticity concerns arise.
- A dispute exists.
- Chargebacks occur.
6.2 Watch Chamber may retain funds until investigations are completed.
7. Indemnity
7.1 The Dealer agrees to indemnify and keep indemnified Watch Chamber, its directors, employees and affiliates against any losses, claims, damages, liabilities, costs and legal expenses arising from:
- Counterfeit watches.
- Misrepresentation.
- Breach of this Agreement.
- Chargebacks.
- Customer claims.
- Violations of applicable law.
8. Counterfeit Goods
8.1 Where a counterfeit item is identified, Watch Chamber may:
- Remove the listing.
- Suspend or terminate the Dealer account.
- Refund affected buyers.
- Retain funds.
- Recover losses from the Dealer.
- Report the matter to Trading Standards, law enforcement agencies and relevant authorities.
8.2 The Dealer shall reimburse Watch Chamber for any refunds, legal costs, chargebacks or reputational losses arising from the sale of counterfeit goods.
9. Limitation of Liability
9.1 Watch Chamber shall not be liable for indirect, incidental or consequential losses.
9.2 Watch Chamber’s total liability shall not exceed the fees paid by the Dealer to Watch Chamber during the preceding twelve months.
10. Intellectual Property
10.1 All rights in the Watch Chamber platform, trademarks and branding remain the property of Watch Chamber Ltd.
11. Suspension and Termination
11.1 Watch Chamber may suspend or terminate any account immediately where:
- Fraud is suspected.
- Counterfeit goods are discovered.
- The Dealer breaches this Agreement.
- Watch Chamber believes continued access poses a risk to customers or the platform.
12. Confidentiality
12.1 Dealers shall keep confidential any non-public information concerning Watch Chamber and its operations.
13. Governing Law
13.1 This Agreement shall be governed by the laws of England and Wales.
13.2 Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Acceptance
By creating a Dealer account and listing items on Watch Chamber, the Dealer confirms that it has read, understood and agrees to be bound by this Agreement.
WATCH CHAMBER BUYER AGREEMENT
These Terms & Conditions govern the use of the Watch Chamber platform and all purchases made through it.
1. Marketplace
1.1 Watch Chamber Ltd operates an online marketplace connecting buyers with independent registered dealers.
1.2 The dealer is the seller of record. Watch Chamber is not the owner or seller of watches listed on the platform.
2. Buyer Responsibilities
2.1 Buyers agree to provide accurate information and act honestly throughout the transaction.
2.2 Buyers shall not engage in fraudulent conduct, false claims, abuse of chargeback procedures or any activity intended to deprive dealers or Watch Chamber of payment.
3. Delivery
3.1 Buyers must ensure delivery details are correct.
3.2 Signed-for and tracked delivery may be used for all purchases.
3.3 Delivery confirmation, tracking records, photographs, video evidence and courier records may be relied upon as evidence that an item has been delivered.
4. Inspection Period
4.1 Buyers must inspect the watch promptly upon receipt.
4.2 Any claim relating to authenticity, condition or damage must be reported within the applicable inspection period.
5. Returns
5.1 Returned items must be sent in the same condition in which they were received.
5.2 All original accessories, boxes, documents and accompanying items must also be returned.
5.3 Watch Chamber and the dealer reserve the right to inspect returned items and verify authenticity and serial numbers.
6. Counterfeit Substitution and Item Switching
6.1 Buyers shall not substitute, exchange, alter, damage or replace any watch received with another watch, counterfeit item or different components.
6.2 Serial numbers, photographs, movement details, authentication records and other identifying characteristics may be used to verify that returned items are identical to those originally supplied.
6.3 Any attempt to return a counterfeit watch, substitute components or falsely claim that a different item was received shall constitute fraud.
6.4 Watch Chamber reserves the right to:
- Reject refunds.
- Retain evidence.
- Suspend or terminate accounts.
- Recover losses, costs and damages.
- Share information with payment processors, insurers, law enforcement agencies and Trading Standards.
- Pursue civil remedies.
7. False Delivery Claims
7.1 Buyers shall not falsely claim that an item was not delivered where delivery records demonstrate otherwise.
7.2 Tracking records, courier signatures, photographs, GPS data and video evidence may be relied upon in resolving disputes.
7.3 Fraudulent claims may result in account suspension, refusal of refunds and legal action.
8. Chargebacks
8.1 Buyers agree not to initiate unjustified chargebacks.
8.2 Where a chargeback is found to be fraudulent or without merit, Watch Chamber may recover all losses, fees and expenses incurred.
9. Disputes
9.1 Watch Chamber may investigate disputes and request photographs, videos and other evidence.
9.2 Watch Chamber’s decision following investigation shall be final unless otherwise required by law.
10. Fraud
10.1 Any fraudulent activity may result in:
- Immediate account termination.
- Reporting to law enforcement authorities.
- Recovery of legal fees and damages.
- Permanent exclusion from the platform.
11. Limitation of Liability
11.1 Watch Chamber’s liability shall be limited to the amount paid by the buyer for the transaction in question.
12. Governing Law
12.1 These Terms shall be governed by the laws of England and Wales.
12.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
